LocalProxies is a service operated by LocalProxies (“LocalProxies,” “we,” “our,” or “us”). LocalProxies is incorporated in Delaware, United States of America. LocalProxies is a service operated by Proxyco, Inc. (“LocalProxies,” “we,” “our,” or “us”). The registered office of the corporation is 131 Continental Drive, Suite 305, City of Newark, Delaware, 19713, United States of America. These Terms of Service (“Terms”) govern your access to and use of the LocalProxies platform, software, proxy services, websites, applications, and all associated features (collectively, the “Services”). 2. Eligibility

You must be at least 13 years old and have the legal authority to enter into this agreement. If you are accessing the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. License and Use

User Agreement General Terms

This End User Agreement is entered between you (“Individual”) and Local Proxies Limited (“LocalProxies” or “Us” or “Our Corporation” or “We”), together with our Privacy Policy terms. These are set forth as the legally binding agreement (“Agreement”). The Agreement governs your personal access and any usage of our developed software (“Software”) named Local Proxies (“Local Proxies”), of our private network (“Network”), of our limited and extended features, of any content and any applications offered by us, and herein and hereafter known as our services (“Services”).

Please pay close attention to our present Agreement before any use of our Services, Network, Applications and Features if you wish to use the Services provided by us. If you don’t agree to be bound by those terms and/or do not consent to our Privacy Policy, you shall not use our Services.

Your use of Local Proxies is both personal and law abiding. Your use of our Services is limited by the User License to which you agree by downloading our Software. You also agree to comply with the laws of the United States of America and not use our Software for any unauthorized purpose or illegal matters.

General Use of Service

Local Proxies provides you with an exceptional service to help you access the web.

To access the full potential of the Local Proxies Network, you must purchase a Premium Version.

You may not access the Service if you are an individual aged under 13 years old, or if you are not the owner or approved administrator of the computer device on which you run Local Proxies Software, or any other device used to run the Software.

Local Proxies reserves the right, at our personal discretion and convenience, to modify, add, delete or change any terms and conditions of the hereby End User Agreement or any portion of the Agreement or include any limitations or available features for an individual or all users.

If any changes are made that impact all the users of Local Proxies, we will post a notice of change on our blog or website. If any change is individual due to improper use of Local Proxies Software, we will notify individually the change of use according to the herein Agreement.

If you do not wish to comply and be individually bound by the Agreement or the amended Agreement, you may not use the Software, or you shall terminate the use of the Software. In both cases, you may not use or access, or continue to use or access, our Network and Services provided by us under those terms.

LocalProxies grants you a limited, non-exclusive, non-transferable, revocable license to use the LocalProxies software and Services for lawful purposes and in accordance with these Terms.

You may not:

Modify, copy, distribute, sell, or lease any part of our Services or software;
Reverse engineer, decompile, or attempt to extract the source code;
Use our Services to violate any applicable laws or regulations;
Access the Services using automated means without our written permission;
Use the Services for commercial purposes without a separate agreement with us.

Compliance with law

Our software, services, and proxy network are intended to be exclusively used only in compliance with applicable laws of your country. Without derogating from the bylaws herein, you also agree to comply with all applicable laws, statutes, and regulations of your country, and of the United States of America, and particularly of the state of Delaware.

Notifications

We may be required by law to inform and therefore notify you with certain modifications or events related to the upgrade of our software, services, and our proxy network. In that event, you will have to update your email address and contact information. If you do not provide us with your current information status, we cannot be held liable if we fail to notify you.

Assignments

You may not assign, sub-license, or delegate your individual rights under the herein agreement bylaws. By using our software, you agree that your rights may be assigned in part or in whole at our sole discretion including assignments under merger, acquisition, reorganization, or sale of our assets, in parts or in total.

Governing law

The agreement between us and you as an individual is governed by the laws and statutes of the state of Delaware, United States of America.

Claims

Your failure to report a claim within one year after occurrence closes the action of claim.

Waiver

The failure by us to exercise our rights or to enforce the herein agreement shall not constitute a waiver of such provision.

4. Acceptable Use Policy

By downloading our software and accessing LocalProxies network, you are granted a non-exclusive, non-sub-licensable, revocable, non-transferable, limited license to access and use the services and to install a copy of the software on your personal device. This content is personal, and if you wish to use our services for any commercial use, you must enter into an agreement with us prior to any commercial use. Otherwise, it should be considered as a breach of this agreement. You agree not to use the Services to:

Send spam, malware, or conduct phishing campaigns;
Circumvent security controls, including CAPTCHAs or login protections;
Violate intellectual property rights or other legal rights;
Engage in unlawful surveillance or unauthorized data scraping;
Interfere with or disrupt the operation of our Services or servers.

LocalProxies reserves the right to suspend or terminate your access to the Services for violations of this policy. Please refer to the Acceptable Use Policy to find out more about how services are operated and the way you can properly and legally use them.

5. Account and Security

To activate some services of our LocalProxies Network, you need to create an account, sign up and provide: username, password, and your email address. Therefore, you agree with the following terms:

Provide us with true and accurate information for your registration and use of the Services and of our Proxy Network.
Maintain and promptly update the registration data, and any other information you provide to us, for the purpose of keeping your account up to date and complete.
Your account is for personal and individual use, and you may not let anyone else use our Software.
You are solely accountable for any breach of these terms if your account has been used by anyone other than you, as registered in your personal account.
In case of a breach of security in your personal account, you must notify us immediately.
We will not be liable for any loss that you may face because of someone else using your personal account, either with or without your knowledge.

To access certain features, you may need to create an account. You agree to:

Provide accurate and complete information;
Keep your login credentials secure;
Notify us immediately of any unauthorized use of your account;
Be solely responsible for activities that occur under your account.

6. Payments and Refunds

Premium Services require payment. If you decide to purchase a premium version, you will be charged with our current monthly fee. Our premium version will be automatically renewed each month until we receive a notification clearly stating that you wish to terminate the license. We may use third-party services to collect fees from the premium version or any services you wish to use provided by us. Before using any third-party payment platform, we strongly recommend you read their terms of use before checking in for third-party payment services, and that you agree to the third-party terms. We are not responsible for third-party terms, for their content policy, for their data retention policy, for their refund policy, or any other practices related to such third-party services.

By purchasing, you agree to recurring billing until you cancel. Refunds are only granted within 7 days of purchase and only if less than 10% of the service has been used. We reserve the right to refuse refunds in cases of abuse or policy violation.

7. Privacy and Data Protection

Your privacy is important to us. Our data practices are outlined in our Privacy Policy. LocalProxies acts as the data controller under applicable laws, including the GDPR. You have rights to access, correct, or delete your personal data.

8. Intellectual Property Ownership

All our Software, Sites, Features, Proxy Network, including any versions, revisions, modifications, enhancements, corrections, upgrades, accompanying materials, Services, and any copies you are permitted to make under this Agreement are owned by us or our licensors and are protected under intellectual property laws, including copyright laws and treaties.

The Local Proxies logo and trademarks are the proprietary trademarks of Local Proxies and no right, license, or interest in any trademark is granted hereunder.

By downloading our Software, you agree that all rights, titles, and interests in and to the Software, Site, and Features and associated intellectual property rights, copyrights, trade secrets, design, or trademarks evidenced by, embodied in, attached to, or related to our Software, Site, or Features are and shall remain solely owned by us or our licensors. Nothing in this Agreement constitutes a waiver of our intellectual property rights under any law.

We respect the intellectual property of others and of our competitors, and we ask you to do the same as us, and to comply with intellectual property laws and other provisions in connection with any content agreement to which you may be a party through the Services.

9. Limitation of use & Termination of End User License

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful. You may terminate your use by cancelling your subscription and uninstalling the software.

Limitations of local proxies’ liability

In no event whatsoever will we, or any party who has been involved in the development, programming, marketing, promotion, or distribution of our software, our services, or our proxy network, be liable to you or any other party for any reason, whether direct, indirect, incidental, reliance-based, or exemplary.

Local proxies will not be liable to you regarding your use of the software, our services, or our proxy network. We will not be liable under any circumstances for any claims or damages, of any kind.

Term & termination of end user license

This agreement becomes effective upon your installation of our software. the relationship between you and us is terminated when:

you decide to fully uninstall the software.
you choose to terminate access to our software, services, and proxy network.
your premium license expires, and you decide to discontinue using our software, services, or proxy network.

We reserve the unrestricted right to terminate your license at any time and without prior notice. We also reserve the right to restrict, deactivate, suspend, or terminate your access to the services, including deleting your account and all related data and files stored within your personal user account.

We also reserve the unrestricted right to:

move, remove, or refuse any content and materials available through our software, services, and proxy network.
establish general practices and limits concerning individual usage of the software, services, and proxy network.
restrict your personal use of our software, services, and proxy network for any reason related to your usage behavior.

Termination may occur at our sole discretion, including for any of the following reasons:

breach or violation of this agreement.
termination requested by you.
request by law enforcement or governmental agency.
modification or discontinuation of software, services, or proxy network.
unexpected technical or security issues related to the software, services, or proxy network.

10. DMCA & Copyright Infringement

If you believe content on our Services infringes your copyright, please submit a notice to support@localproxies.com with the required information under the DMCA.

11. Export Control and Sanctions Compliance

You agree not to use our Services in or for the benefit of countries subject to U.S. embargoes or for users on U.S. government denied parties lists. You will comply with all applicable U.S. export control laws. LocalProxies is a service registered in the United States, in the state of Delaware, and is therefore subject to all united states export control laws and regulations. LocalProxies makes no representation that our service is available for use in locations outside the United States.

by using our service, you agree that:

you are not listed on the table of denial orders maintained by the United States department of commerce, nor on the list of specially designated nationals (sdn list) maintained by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC). You are also not prohibited from participating in transactions involving the export of products or services from U.S registered companies.
you are not located in, incorporated in, or a resident of a country or region currently under a comprehensive embargo or sanctions program by the United States. as of the latest update, embargoed jurisdictions include:
Cuba, Iran, North Korea, Syria, the Crimea, Donetsk and Luhansk regions of Ukraine, and certain areas of Belarus and Russia under sectoral and comprehensive restrictions.
you will not, without prior authorization from the bureau of industry and security (bis), re-export or transfer any technical data related to our service, or any direct product of such data, to any destination or person prohibited by applicable export control laws.
you agree not to export, re-export, or transfer (directly or indirectly) our software or services to any person, entity, or jurisdiction identified under country groups d:1, e:1, or e:2 of supplement no. 1 to part 740 of the export administration regulations. these currently include (but may not be limited to):
Albania, Armenia, Azerbaijan, Belarus, Cambodia, China, Cuba, Georgia, Iran, Iraq, Kazakhstan, Kyrgyzstan, Laos, Libya, Macau, Moldova, Mongolia, North Korea, Russia, Sudan, Syria, Tajikistan, Turkmenistan, Ukraine, Uzbekistan, Venezuela, Vietnam, and Yemen.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, unless otherwise required by applicable law. Any disputes will be resolved in the courts of competent jurisdiction in that state.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting a notice on our website or via email. Continued use of the Services after changes constitutes acceptance of the revised Terms.
